Subalta ("we", "our", "us") is a company providing business services focused on company data. We develop, use, and deploy artificial intelligence (AI) systems to help businesses identify funding opportunities, assess eligibility, and streamline application processes. Our systems also help businesses unlock the value of their data for strategic growth and innovation.

Algemene overeenkomst

These Terms of Use ("Terms") apply to your use of our websites, applications, platforms, and all related software applications, technologies, and services (collectively, the "Services"). This is a legally binding agreement between you (personally or on behalf of your organisation) and Subalta regarding your access to and use of the Services. By accessing or using the Services, you confirm that you have read, understood, and accepted these Terms.

Our Services are intended exclusively for professional use by businesses, organisations, or independent professionals. These Terms apply only in the context of business-to-business (B2B) professional relationships.

Depending on the features you use, additional policies may apply, including our Privacy Policy and Cookie Policy.

We may modify these Terms and related policies at our sole discretion. We will notify updates by changing the "last updated" date of these Terms or related sections. You are responsible for reviewing the Terms regularly. Continued use of the Services after updates are published means you accept the revised Terms.

We recommend that you save or print a copy of these Terms for your records.

Information provided through our Services is not intended for distribution or use by any person or organisation in any jurisdiction where such distribution or use would violate applicable law or regulation, or would require us to register in that jurisdiction. Anyone accessing the Services from other locations does so on their own initiative and is solely responsible for compliance with local laws, where applicable.

Subject to your compliance with these Terms, including the "Prohibited activities" section below, you may access and use the Services. You may not use the Services for illegal, harmful, or abusive activity. You must comply with all applicable laws and any additional policies referenced above.

Ideas, comments, suggestions, or other information that you voluntarily provide outside the core service workflow are considered "Submissions". This includes content shared via surveys, public forums, meetings, support requests, publicly accessible online data, or other communication channels not directly linked to grant applications or core business operations. Submissions do not include confidential or proprietary documents submitted within the intended use of the Services. Ownership of such documents remains with the user or the user's organisation.

By making Submissions, you grant us a non-exclusive, royalty-free, perpetual, worldwide licence to use, reproduce, and adapt those Submissions to improve the Services. This does not apply to confidential documents submitted as part of service delivery.

You must provide truthful, accurate, current, and complete registration information and keep it up to date. You are responsible for promptly correcting any inaccuracies. If you provide false, inaccurate, outdated, or incomplete information, or fail to update it, we may suspend or terminate your account and deny access to the Services without compensation.

You must have legal capacity to use the Services and accept these Terms. The Services are intended for users aged 18 or older. Minors are not permitted to use or register for the Services.

You may create only one account per person. During registration, you must provide a VAT number corresponding to your company or the company you represent. You may only access the VAT number of your own company. If you need access to multiple VAT numbers within the Services, contact us at contact@subalta.com.

Access by automated or non-human methods, such as bots or scripts, is strictly prohibited. If you want to integrate our Services into your own systems, contact us at contact@subalta.com.

To use platform features beyond basic website functionality, you must register and create an account. You are solely responsible for all activity under your account and must keep credentials confidential. Sharing account credentials or allowing third parties to access your account is strictly prohibited.

If you create an account on behalf of an organisation or another person, you must have legal authority to accept these Terms on their behalf and ensure compliance.

Certain features of the Services require payment. The features, benefits, and applicable fees, including subscription charges, will be presented clearly before purchase. You are responsible for providing accurate, complete, and current billing information, including a valid payment method. If payment fails due to invalid billing information or payment method issues, we may suspend or downgrade your account until full payment is received.

Payments for subscriptions or other services are non-refundable unless required by applicable law or agreed in writing. If you cancel your subscription, you retain access to subscription benefits until the end of the current billing cycle. No refund or credit is granted for unused portions of a subscription period.

We may adjust subscription pricing at our discretion. In case of a price increase, we will provide at least 30 days' notice. New pricing applies from the next renewal cycle. If you do not agree, you may cancel before renewal to avoid being charged the revised amount.

You may stop using the Services at any time by closing your account and ceasing use of the platform. To close your account, contact our support team at contact@subalta.com.

We may suspend or terminate your access, or delete your account, at our sole discretion and without prior notice or liability. This may occur for reasons including: breach of these Terms or applicable policies; legal or regulatory requirements; harmful, risky, or liability-creating use; or prolonged account inactivity.

If your account is suspended or terminated, access to Services may stop and associated data or content may be restricted or deleted. Where appropriate, we will make reasonable efforts to notify you in advance and allow data export. We may omit notice where prohibited by law or where continued access would likely cause harm or legal breach.

If your account is suspended or terminated, you may not create a new account under your name, a false identity, or on behalf of another person or organisation without our express permission.

We may also take appropriate legal action to enforce these Terms and remedy violations, including civil, criminal, or injunctive remedies where applicable.

If you believe your account was suspended or terminated in error, contact support at contact@subalta.com. We will review your request according to our policies.

Verboden activiteiten

You may not access or use the Services for purposes other than those explicitly allowed by these Terms. The following activities are strictly prohibited:

Creating multiple accounts; collecting data or content to build databases without written authorisation; deceiving users to obtain sensitive information; bypassing security controls; harming our reputation or user experience; harassing users, employees, or partners; uploading malware, viruses, spam, or disruptive content; using bots, scripts, or other automated systems; removing copyright, trademark, or ownership notices; impersonating others; using covert tracking tools; overloading infrastructure; bypassing access controls, rate limits, or security measures; reverse engineering or decompiling the Services; conducting unauthorised commercial activity; using the Services to compete with us or build similar products; submitting false abuse reports; collecting user data for spam or automated account creation; or using the Services in any way that violates laws or third-party rights.

Violations may result in suspension or termination without compensation and may lead to legal action. We reserve the right to take all necessary measures to protect our Services, users, and intellectual property.

Inhoud

When you provide data to the Services ("Data") or receive outputs generated by the Services based on that Data ("Outputs"), both are collectively "Content". You are fully responsible for Content and must ensure it complies with applicable law and these Terms.

By using the Services, you confirm that your Content does not infringe third-party rights; that you own Content or have all necessary permissions; that identifiable persons included in Content have given required permission where applicable; that Content is accurate and not misleading; and that Content does not include unauthorised advertising, spam, unlawful, offensive, discriminatory, or harmful material.

Content that does not meet these standards may result in suspension or termination of your account and, where necessary, legal action.

We strive to provide accurate and reliable AI-based Services, but AI remains probabilistic and outputs may contain errors or may not be definitive. You are solely responsible for reviewing and validating Outputs before relying on them for decisions.

Our Services may include or integrate third-party software, products, or services ("Third-Party Services"), and some functionalities may include outputs from those services. Third-party products and services are governed by their own terms, which we do not control and for which we are not responsible.

Our platform may also provide links to third-party websites or resources. We do not control those websites and are not responsible for their content, policies, or practices. Any interaction with third-party services or websites is at your own risk.

Certain information shared through use of our Services, including grant application documents, business evidence, or other sensitive content, is considered confidential. Subalta commits to using this information only to provide the Services and not disclosing it to third parties except where legally required or with your explicit consent. We implement appropriate technical and organisational measures to protect this data.

Intellectuele eigendomsrechten

We own all rights, title, and interest in and to the Services. No part of the Services may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for commercial or private purposes without our prior written permission.

To use our logo, name, or other content related to the Services, you must request permission at contact@subalta.com and receive written approval.

Any violation of intellectual property rights constitutes a material breach of these Terms and may result in immediate termination of your right to use the Services and legal action.

We commit to delivering the Services with reasonable professional skill, care, and diligence. While we aim to provide a reliable and consistent experience, we do not guarantee that the Services will remain available indefinitely or in their current form for any specific period.

We are not responsible for losses or damages unless directly caused by a breach of these Terms and reasonably foreseeable at the time these Terms were agreed. We are also not responsible for losses caused by events outside our reasonable control, such as natural disasters, technical failures, or third-party actions.

We reserve the right to modify or remove any content in the Services at any time and for any reason without prior notice. We aim to keep Services accurate and up to date, but this is not an obligation. We are not responsible for changes, pricing adjustments, suspensions, or interruptions.

Services may experience interruptions due to technical issues, including hardware failures, software errors, or required maintenance. We cannot guarantee uninterrupted availability and are not liable for inconvenience, loss, or damage resulting from such interruptions.

Although we regularly back up and retain user data, you remain responsible for your own backups of important data. By using the Services, you agree that we are not liable for claims related to loss, corruption, or inaccessibility of data.

Overmacht

Subalta is not liable for delay or failure to perform obligations when caused by circumstances beyond reasonable control, including natural disasters, armed conflicts, terrorism, cyberattacks, internet infrastructure failures, or governmental decisions. In such events, Subalta will inform users as soon as reasonably possible and take reasonable steps to mitigate the impact.

By using the Services, sending emails, or submitting online forms, you agree to electronic communications. You consent to receive agreements, notices, disclosures, and other communications electronically by email or through the Services. These electronic communications satisfy legal requirements that communications be in writing.

You expressly agree to the use of electronic signatures, contracts, orders, and records, and to electronic delivery of notices, policies, and records related to transactions initiated or completed through the Services. You waive rights requiring non-electronic signatures, physical document delivery, or non-electronic payment processing where legally permitted.

Disclaimer

The Services are provided "as is" and "as available". By using the Services, you do so at your own risk. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Services will be uninterrupted or error-free, nor do we guarantee the accuracy, completeness, or reliability of Services content or third-party content accessible through the Services.

We are not responsible for errors, omissions, inaccuracies, unauthorised access to servers, transmission interruptions, malware transmitted by third parties, or losses arising from content displayed or transmitted through the Services.

We do not endorse and are not responsible for third-party products, services, or websites referenced through the Services. You are solely responsible for exercising caution when engaging with third-party content or services.

Important: Subalta Services do not constitute legal, financial, or tax advice. We do not guarantee obtaining funding, grants, or public aid. Decisions made based on our Services remain your sole responsibility, and you are encouraged to seek appropriate professional advice before making decisions.

To the maximum extent permitted by law, we and our affiliates, licensors, officers, agents, and employees are not liable for indirect, incidental, special, consequential, or exemplary damages, including loss of profits, revenues, goodwill, use, data, or other losses, even if advised of the possibility of such damages.

Our aggregate liability for any claim is limited to the higher of: amounts paid by you during the six (6) months before the claim arose, or seventy-five euros (EUR 75).

If you are a business or organisation, you agree, to the extent permitted by law, to indemnify and hold harmless Subalta and its affiliates, subsidiaries, officers, employees, agents, and partners against claims, losses, liabilities, costs, and expenses (including legal fees) related to your use of the Services, your breach of these Terms, your breach of applicable law, your infringement of third-party rights, or harmful, illegal, or negligent acts in connection with the Services.

Geschillenregeling

In case of dispute, we encourage informal resolution first through support at contact@subalta.com. If unresolved, mediation may be used before arbitration. If still unresolved, disputes, controversies, or claims related to these Terms are settled by binding arbitration under the rules of the European Court of Arbitration, part of the European Arbitration Centre. Arbitration takes place in Brussels, Belgium, in French, and Belgian law governs the substantive rules of arbitration.

Toepasselijk recht

These Terms are governed by Belgian law. Any dispute not resolved through informal negotiations or arbitration is subject to the exclusive jurisdiction of the courts of Brussels, Belgium. Compliance with local regulations in the user's jurisdiction remains the user's responsibility.

Diverse bepalingen

These Terms, together with any policies or rules published by us, constitute the entire agreement between you and Subalta and supersede prior agreements, understandings, or communications regarding use of the Services.

If we do not enforce a part of these Terms, this does not waive our right to enforce it later. All provisions apply to the fullest extent permitted by law. If any provision is invalid, illegal, or unenforceable, it is severable and does not affect the validity of remaining provisions.

We may assign our rights and obligations under these Terms at any time. We are not liable for delays, failures to act, or damages caused by circumstances beyond our reasonable control.

These Terms do not create any partnership, joint venture, employment, or agency relationship between you and us. You agree these Terms are not construed against us because we drafted them. You waive any defence based on the electronic form of these Terms or lack of signature by the parties.

These Terms may be translated into other languages for convenience. However, the French version is the only legally binding version. In case of conflict between the French version and any translation, the French version prevails. Translations are for information only and do not affect interpretation or enforceability.
